Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your use of the Geecom Learning website at geecomlearning.com and any services provided by Geecom Learning ("we," "us," or "our"), a Learning and Development (L&D) content studio based in Vancouver, British Columbia, Canada.
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. These Terms apply to all visitors, clients, and other users of our services.
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Vancouver, British Columbia.
2. Services
Geecom Learning provides bespoke eLearning content development, onboarding and training video production, compliance and safety training modules, microlearning assets, and Learning Management System (LMS) support services.
We also offer a monthly retainer arrangement for organisations requiring ongoing L&D support. The specific scope, deliverables, timelines, and pricing for each engagement are set out in a written project brief or service agreement confirmed between the parties prior to commencement of work.
We reserve the right to decline any project at our sole discretion, including where the requested content conflicts with applicable law or our internal standards.
3. Project Agreements and Scope
All bespoke projects begin with a written quote or proposal that outlines the scope of work, deliverables, timeline, and total cost. Work commences only after written approval from the client.
Any changes to the agreed scope must be requested in writing and may result in revised timelines and additional fees. We will provide written confirmation of any scope changes before proceeding.
For monthly retainer arrangements, the scope of services available in each billing cycle will be set out in the retainer agreement signed by both parties.
4. Fees and Payment
Fees for bespoke projects are quoted individually based on the scope, format, length, and complexity of the work. All quoted fees are in Canadian dollars (CAD) unless otherwise stated in writing.
Payment terms are outlined in each project proposal or service agreement. Standard terms require a deposit of 50 percent of the total project fee before work begins, with the remaining balance due upon delivery of final files.
For monthly retainer services, billing occurs on a monthly basis on the date set out in the retainer agreement. Retainer fees are due within 14 calendar days of the invoice date.
Late payments may be subject to interest charges at a rate of 1.5 percent per month (18 percent annually), in accordance with common commercial practice in British Columbia. We reserve the right to pause or suspend services for overdue accounts.
All applicable taxes, including Goods and Services Tax (GST) and Provincial Sales Tax (PST) where applicable under British Columbia law, will be included in invoices.
5. Intellectual Property
Upon receipt of full payment for a bespoke project, Geecom Learning assigns to the client all intellectual property rights in the final deliverables produced under that project, including copyright. This assignment does not include rights to proprietary tools, templates, processes, or pre-existing materials developed by Geecom Learning.
For retainer arrangements, intellectual property in deliverables is assigned to the client as each deliverable is approved and payment is current.
Geecom Learning retains the right to use completed work in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing prior to project commencement. Confidential or sensitive content will not be shared publicly without explicit written consent.
All content on the Geecom Learning website, including text, graphics, and branding, is the property of Geecom Learning and protected by applicable copyright law. You may not reproduce, distribute, or commercially exploit any website content without prior written permission.
6. Client Responsibilities
Clients are responsible for providing timely feedback, approvals, and source materials necessary for us to deliver services. Delays caused by the client may affect agreed timelines. We are not responsible for project delays arising from late or incomplete client input.
Clients warrant that any materials they provide to us for use in projects do not infringe the intellectual property rights, privacy rights, or any other rights of third parties. Clients indemnify Geecom Learning against any claims arising from materials provided by the client.
7. Confidentiality
We treat all client information, project briefs, and business details as confidential. We will not disclose confidential information to third parties except as required to deliver the services or as required by law.
Clients agree to treat any non-public information shared by Geecom Learning, including pricing, processes, and proprietary methodologies, as confidential.
8. Revisions and Approval
The number of included revision rounds for each project is specified in the project proposal. Additional revisions beyond the agreed number may be charged at our standard hourly rate, which will be communicated in advance.
Deliverables are considered approved and accepted if the client does not provide written feedback within 10 business days of delivery, unless otherwise agreed in the project proposal.
9. Cancellation and Termination
Either party may terminate a project or retainer agreement by providing written notice. The notice period is 30 calendar days unless otherwise specified in the project or retainer agreement.
If a client cancels a bespoke project after work has commenced, any deposit paid is non-refundable. We will invoice for work completed up to the date of cancellation at a pro-rated rate based on the total project fee.
For monthly retainer arrangements, cancellation takes effect at the end of the current billing cycle following the notice period. No partial refunds are provided for the current billing period.
We reserve the right to terminate services immediately in cases of non-payment, breach of these Terms, or conduct that is unlawful or harmful.
10. Limitation of Liability
To the maximum extent permitted by applicable law in British Columbia, Geecom Learning shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use of our services or website, even if we have been advised of the possibility of such damages.
Our total liability to any client for any claim arising out of or related to a specific project shall not exceed the total fees paid by that client for that project in the 12 months preceding the claim.
Nothing in these Terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded under British Columbia or Canadian law.
11. Disclaimer of Warranties
Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied, to the extent permitted by applicable law. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.
We do not guarantee specific training outcomes or results from the use of content we produce. The effectiveness of training materials depends on factors outside our control, including how they are implemented and used by the client.
12. Privacy
Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, and protect personal information in accordance with the Personal Information Protection Act (PIPA), Statutes of British Columbia 2003, Chapter 63. Please review our Privacy Policy carefully.
13. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Your continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
